Terms of Service

Welcome to Synctech ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Synctech construction intelligence platform, including our web application, mobile application, API, and documentation site (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Definitions

  • "Account" means your registered user account on the Service.
  • "Company" means the organization or business entity you create or join within the Service, scoped under companies/{companyId}.
  • "Content" means all data, text, files, and information you upload, submit, or store through the Service, including project data, crew information, employee records, financial data, equipment records, receipts, and documents.
  • "Subscription" means your paid plan (Starter, Professional, Business, or Enterprise) or free trial period.
  • "User" means any individual who accesses the Service through an Account, whether as an owner, admin, manager, foreman, or standard member.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to bind the Company you represent to these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized access to your Account. We are not liable for any loss arising from unauthorized use of your credentials.

2.3 Company Setup

When you create a Company, you become the owner. You may invite other Users to join your Company with assigned roles (admin, manager, foreman, member, viewer). You are responsible for managing User access and permissions within your Company.

2.4 Multi-Company Membership

Users may be members of multiple Companies. Joining a new Company does not affect existing Company memberships.

3. Subscription and Billing

3.1 Free Trial

New accounts receive a 14-day free trial with full access to the features of your selected plan tier. No charges are incurred during the trial period.

3.2 Payment Processing

All payments are processed through Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card information on our servers.

3.3 Subscription Plans

We offer four plan tiers: Starter ($149/month), Professional ($349/month), Business ($799/month), and Enterprise (custom pricing). Plan features, pricing, and limits are described on our pricing page and may change with 30 days' written notice.

3.4 Billing Cycle

Subscriptions are billed monthly. Your card will be charged at the end of your trial period and on each subsequent monthly anniversary.

3.5 Cancellation

You may cancel your Subscription at any time. Upon cancellation, you retain access to the Service until the end of your current billing period. No refunds are issued for partial months.

3.6 Downgrades

If you downgrade to a lower tier, features exceeding the new tier's limits may become inaccessible. Your data is retained but may be read-only until you upgrade or reduce usage to within the new plan's limits.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload or transmit malicious code, viruses, or harmful data.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Use the Service to store or transmit content that infringes on third-party intellectual property rights.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to send unsolicited bulk communications.
  • Share your account credentials or allow unauthorized persons to access your Account.
  • Exceed the usage limits of your Subscription plan through automated means.

5. Your Content and Data

5.1 Ownership

You retain all ownership rights to your Content. We do not claim any intellectual property rights over the data you store in the Service.

5.2 License to Us

You grant us a limited, non-exclusive license to store, process, and display your Content solely for the purpose of providing the Service to you. This license terminates when you delete your Content or close your Account.

5.3 Data Storage

Your Content is stored in Google Cloud (Firebase/Firestore) infrastructure. All data is scoped to your Company (companies/{companyId}/...) and is not shared with other Companies.

5.4 Data Export

You may export your data at any time through the Service's export functionality. Upon Account termination, we will provide a reasonable period (30 days) for you to export your data before deletion.

5.5 AI and Machine Learning

If you use AI-powered features (predictions, rate analysis, production estimates), your historical data may be used to train machine learning models scoped to your Company. Your data is never used to train models for other Companies.

6. Intellectual Property

6.1 Our IP

The Service, including its design, code, features, documentation, and branding (including the Synctech name and logo), is owned by Myriatech, LLC and is protected by copyright, trademark, and other intellectual property laws.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual license to use, modify, and incorporate such feedback into the Service without obligation to you.

7. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • Stripe — Payment processing and subscription management
  • Google Firebase — Authentication, database, and hosting
  • Google Cloud — Infrastructure and storage

Your use of these third-party services is governed by their respective terms and privacy policies.

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance windows will be announced in advance when possible.

8.2 Modifications

We may modify, update, or discontinue features of the Service at any time. Material changes to functionality will be communicated with at least 30 days' notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT LIABLE FOR LOSSES RESULTING FROM: (a) YOUR USE OR INABILITY TO USE THE SERVICE; (b) UNAUTHORIZED ACCESS TO YOUR DATA; (c) THIRD-PARTY CONDUCT ON THE SERVICE; (d) ERRORS IN COST ESTIMATES, PRODUCTION PREDICTIONS, OR AI-GENERATED ANALYSIS.

10. Indemnification

You agree to indemnify and hold harmless Myriatech, LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Content; (d) your violation of any law or third-party rights.

11. Termination

11.1 By You

You may terminate your Account at any time by contacting support or using the Account settings.

11.2 By Us

We may suspend or terminate your Account if you: (a) violate these Terms; (b) fail to pay outstanding charges; (c) engage in activity that threatens the security or integrity of the Service.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days to allow export, after which it will be permanently deleted.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions.

12.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Florida.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may send notices to the email address associated with your Account.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
